1. Enhanced Limitation of Liability and Disclaimer of Warranties

Liability Cap

Our total liability for any claims arising from or relating to our services shall not exceed the amount actually paid by you for services during the three (3) months immediately preceding the incident giving rise to the claim. For organizational customers, our liability is limited to the total fees paid during the three-month period prior to the claim, or the amount paid for the specific service that gave rise to the liability, whichever is lower.

Enhanced Disclaimer

Our services are provided on an 'as available' basis without warranties of any kind. We specifically disclaim warranties of merchantability, fitness for particular purpose, and non-infringement. However, we do not exclude liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any other liability that cannot be excluded under Indian law

Service-Specific Limitations

We provide digital services including website development and digital marketing consultation. Our liability for service interruptions, data loss, or third-party platform changes (including social media platforms, search engines, or hosting services) is limited to service credit or refund of fees paid for the affected period, not exceeding the six-month liability cap.

Compensation Framework

In cases where compensation is awarded, it shall be reasonable compensation as determined under Section 74 of the Indian Contract Act, 1872, not exceeding the amount paid for our services. Any compensation shall be limited to direct damages only, excluding consequential, indirect, incidental, or punitive damages.

The digital products, online training, and management consultancy services offered on the Website are provided "as is" and without warranties of any kind, express or implied.

2. Force Majeure

We shall not be liable for any delay, failure, or interruption of service resulting from acts of God, government actions, pandemic, war, terrorism, internet service provider failures, or other causes beyond our reasonable control. During such events, our performance obligations are suspended without penalty.

3. Rules of Conduct

As a user of the Website, you agree to:

• Comply with all applicable laws and regulations
• Not use the Website for any unlawful or unauthorized purpose
• Not interfere with or disrupt the Website or servers or networks connected to the Website
• Not use the Website to transmit any harmful or malicious code, such as viruses or worms

4. Intellectual Property Rights

All website designs, code, marketing materials, and digital assets created by us remain our intellectual property until full payment. Upon payment, you receive a license for use. However, we retain rights to underlying methodologies, frameworks, and templates for future use with other clients.

5. Termination and Refund Policy

Either party may terminate services with 30 days' written notice. Upon termination, your liability for payments is limited to services actually rendered. Refunds for prepaid services will be prorated based on services delivered, subject to the six-month liability limitation period.

Goa Digital Services reserves the right to restrict or terminate your access to the Website owned by us or managed by us at any time, with or without notice, for any violation of these Terms. We may also take legal action against you for any violation of these Terms.

6. Fair Terms Declaration

These terms comply with the Consumer Protection Act, 2019. No provision herein imposes disproportionate penalties, excessive security deposits, or unreasonable obligations on consumers. All termination provisions include reasonable cause requirements.

7. Updates to Terms and Conditions

Goa Digital Services reserves the right to update these Terms at any time. We will notify you of any material changes by posting the new Terms on the Website with an updated effective date. Your continued use of the Website after the posting of any revised Terms constitutes your acceptance of the revised Terms.

8. Governing Law and Jurisdiction

These Terms are governed by Indian law, with disputes subject to the exclusive jurisdiction of courts in Goa, India. Any claims must be filed within two years of the cause of action arising, as per the Consumer Protection Act, 2019.

9. Severability

If any provision is deemed unenforceable, the remainder of these terms shall remain in full effect. Unenforceable provisions shall be modified to the minimum extent necessary to make them enforceable.

10. Entire Agreement

These Terms constitute the entire agreement between you and Goa Digital Services regarding your use of the Website.
